Canton Strategic Holdings (NASDAQ: CNTN) has completed the first trades of its issuer-sponsored tokenized common stock on the Canton Network under the U.S. Securities and Exchange Commission’s September 17 Innovation Exemption.

• Canton Strategic Holdings (NASDAQ: CNTN) announced the first trades of its issuer-sponsored tokenized common stock on the Canton Network on November 4.

• Five North sold the tokenized shares, DRW Cumberland purchased them, and Flowdesk provided liquidity through Tradecraft’s permissioned trading pool.

• Fairmint, an SEC-registered transfer agent, maintains the ownership register, while participating investors must complete identity verification and sanctions screening.

• The transactions took place under the SEC’s September 17 Innovation Exemption, which permits limited tokenized U.S. stock trading under specific conditions.

• Canton Coin (CC) was trading near $0.10 on November 5, up approximately 4% over 24 hours, according to market data.

The company confirmed the November 4 transactions in an announcement shared with crypto.news, identifying Five North as the seller, DRW Cumberland as the buyer and Flowdesk as the liquidity provider. Trading took place on TSV LLC, a permissioned tokenized securities venue powered by the Tradecraft automated market maker protocol.

Fairmint TA LLC, an SEC-registered transfer agent, recorded the shares on the Canton Network, where the transactions settled atomically. Canton Strategic described the trades as the first involving issuer-sponsored tokenized U.S. equities under the new regulatory framework.

Canton Strategic completes tokenized stock trades with institutional firms

The transactions began when Five North, an existing Canton Strategic shareholder, requested that its CNTN shares be registered in tokenized form.

Fairmint transferred the position from a traditional broker-dealer account to Five North’s verified Loop Wallet, recording ownership on the company’s blockchain-based shareholder register.

Once the shares were available, TSV established a permissioned liquidity pool through Tradecraft. Flowdesk supplied liquidity, allowing DRW Cumberland to purchase the tokenized shares from Five North.

Canton Strategic did not disclose the number of shares traded, their execution prices or the total transaction value.

Chairman and CEO Mark Wendland said the company had delivered on its plan to become the first U.S. issuer to trade its tokenized shares under the SEC framework.

“Last week we set out to be the first tokenized U.S. equity traded under the SEC’s new framework. Today, the first trades are done,” Wendland said.

He claimed the network’s privacy features protect shareholders from “MEV frontrunning and information leakage common on other public chains.” The company did not provide comparative trading data demonstrating those protections.

The transactions followed Canton Strategic’s October 29 agreement to make its shares available on TSV, moving the project from a planned launch to its first reported executions.

Tokenized CNTN shares retain traditional shareholder rights

Unlike products that merely track the price of listed stocks, Canton Strategic’s arrangement involves shares tokenized directly on behalf of the issuing company.

Fairmint maintains the official ownership record, manages approved wallets and enforces the company’s transfer restrictions. Shareholders receive the same rights as investors holding CNTN through Nasdaq, including applicable voting and distribution rights.

Participation is limited to investors whose identities and wallets have been verified and approved by Fairmint. The process requires sanctions screening before participants can hold or transfer the tokenized shares.

TSV supports continuous trading through Tradecraft, with transactions designed to settle immediately when both the shares and payment are available.

The venue’s 24-hour trading model remains subject to required trading halts, maintenance, risk controls and applicable volume limits.

Fairmint CEO Joris Delanoue described the arrangement as a way for listed companies to maintain an official shareholder register while allowing blockchain transfers.

“A blockchain can settle a trade, but it takes an accountable transfer agent to say who legally owns the share,” Delanoue said.

A separate tokenized stock trading arrangement involving Securitize already gives eligible investors access to shares represented on Solana. That structure uses security entitlements, while Canton Strategic’s model directly registers the issuer-sponsored shares through its transfer agent.

SEC exemption permits limited onchain stock trading

The SEC issued its Innovation Exemption on September 17, allowing qualifying tokenized securities venues to operate under temporary, conditional relief from certain exchange registration requirements.

The framework permits trading in tokenized National Market System stocks through approved types of automated market maker pools, provided participating venues meet specific regulatory conditions.

These include preserving shareholder rights, observing trading and volume restrictions, and stopping tokenized trading when the underlying stock is halted on its primary exchange.

The regulator’s public list shows that TSV LLC submitted its notice on September 23. The SEC states that inclusion does not independently establish compliance with every condition of the exemption.

The development follows concerns over tokenized stock trading, where 38 companies challenged a separate arrangement involving OKXICE and the handling of issuer objections.

Canton Strategic’s direct participation distinguishes its issuer-sponsored model from platforms tokenizing stocks without the issuer’s involvement.

Canton Coin price rises as network expands tokenization activity

Canton Coin (CC), the network’s native cryptocurrency, traded near $0.10 on November 5, gaining approximately 4% over 24 hours, according to crypto.news market data.

Its market capitalization stood near $3.97 billion, with daily trading volume of roughly $13.55 million. The price remained down around 21.7% over the preceding month.

The token’s market performance follows a separate regulatory development involving Canton Coin’s classification.

On November 3, SEC staff granted limited no-action relief concerning Canton Coin’s programmatic issuance, accepting its treatment as a digital commodity under the circumstances presented.

Canton Strategic remains an investor in the network’s ecosystem, serves as a Super Validator and holds membership in the Canton Foundation.
